1. About THE TEAM AROUND YOU and these Terms of Service
   
   • 1.1 Welcome to The Team Around You.  These Terms of Service (“Terms”) apply to the ‘The Team Around You’ service however accessed as well as the related websites and apps, collectively referred to here as the “TTAY Service(s)” as further described in paragraph 2 below. 
   • 1.2 The TTAY Service is operated by The Team Around You Limited (“TTAY”, “us”, “we”, or “our”).  We are registered in England and Wales under company number 15177160 and our registered office is at Omega Works, London, E3 2GY. 
   • 1.3 These Terms apply to any visitor to and/or user of the TTAY Service that engages with the TTAY Service to look for or procure the services of an Expert, known here as “Artists”, “you, “your” etc, as well as any authorised user enabled or authorised by you to use your account (“Authorised Users“).
   • 1.4 The TTAY Service is a marketplace platform that provides access to music industry professional and advisers (the “Experts”) for more detail see paragraph 2 below.
   • 1.5 Please read these Terms carefully. They set out the basis on which you are allowed to use the TTAY Service. By accessing or using the TTAY Service, you agree to be bound by these Terms and our Privacy Notice (as amended from time to time). If you do not agree with or accept any of these Terms, you should cease using the TTAY Service immediately. You might want to print a copy of the Terms for your own records.
   • 1.6 Privacy: The privacy of your personal data is important to us. Please see our Privacy Notice, for details of how we will use and process your personal data. The TTAY Service also uses cookies.  Please see our Cookie Policy, for more details of how we and others use cookies and similar technologies.
   • 1.7 Contact Us: If you have any questions regarding these Terms or the use of the TTAY Service, please feel free to contact us by emailing our customer services team, whose contact details are provided at the end of these Terms.
   • 1.8 Updates: We may update these Terms from time to time; you should regularly check this page to see if any changes have been made. In relation to updates that materially affect our legal relationship, we will notify you. Ongoing use following such changes or notification will be deemed acceptance of the changes.

2. The TTAY Service, the Experts and our role.

• 2.1 TTAY provides a discovery, booking and payment service allowing you to find third party music industry professional and advisers (the “Experts”) who provide advice, mentoring, training, coaching or other services (the “Expert Services”) via the TTAY Service. TTAY and the TTAY Service acts as an interface in the engagement of the Experts, including facilitating the payment process between you and the Expert.
• 2.2 TTAY is a listing and marketplace service in relation to the Expert Services.  We do not endorse any Experts and are not making any recommendations in relation to their services. TTAY is not the supplier of the Expert Services. When you engage an Expert you are entering into a contract with the Expert via the TTAY Service. TTAY is not a party to any agreement between you and any Expert and TTAY accepts no responsibility for the Expert’s services or your actions. 
• 2.3 Whilst we hope to provide you with a credible range of experts to choose from, and we do perform a certain amount of selection and vetting of the Experts, we do not take any responsibility for the Expert or your relationship with them, and in particular we make no representation or guarantee as to: 
  
  1. any Expert or their service (whether through the platform or not); 
  2. any information regarding the Expert, including but not limited to the information included on their profile; 
  3. that the Experts  are licensed, accredited, insured or registered in any way; 
  4. the competence of any Expert or their appropriateness for your individual needs;
  5. an Expert’s availability and responsiveness;
  6. the relevance and usefulness of an Expert’s advice, guidance or sessions; or
  7. the success of any sessions or contact with Experts.
• 2.4 You should take care in selecting an Expert and a session, and you do so at your own risk.

3. Registration and Creating an Account 

• 3.1 To use the TTAY Services you will be required to register and/or set up an account. To register and/or set up an account you must be aged 18 years or older. If you are registering, creating an account and/or otherwise using the TTAY Service on behalf of company or other body or organisation, you confirm that you have the authority to act on their behalf and to bind them legally, and to permit access on their behalf to other Authorised Users.
• 3.2 The registered person / entity / account owner is solely responsible for providing (and keeping updated) true and accurate information during sign up and throughout the registration period. The registered person /entity /  account owner will be responsible for any use of the account or the TTAY Service through the account and/or through use of the login or password by its Authorised Users or otherwise.   
• 3.3 Please ensure any person accessing the TTAY Service through your account is authorised by you and is aware of and that you ensure that they will comply with these Terms.

4. Booking an Expert session or accessing Expert Services from the Expert.

• 4.1 Any booking you make with an Expert must be done on the TTAY platform and will be subject to the Booking, Payment and Cancellation Rules found here.  You are not permitted to circumvent TTAY by booking Experts outside of the platform.
• 4.2 Deliberately bypassing or circumventing the platform to book an Expert outside of the TTAY platform is a breach of these Terms and may result in immediate termination and we may seek to recover our fees or commissions that have been avoided, along with any reasonable costs of recovering such amounts.
• 4.3 The Expert / Artist Minimum Terms, set out at the end of these Terms, apply to any contract formed between the Expert and Artist for the supply of Expert Services via the TTAY Service. When entering into a contract to provide an Artist with Expert Services, the Expert may also incorporate their own terms of business to govern the relationship.  To the extent the Expert does incorporate any further terms, the Expert / Artist Minimum Terms will be deemed amended to the extent of any inconsistency. 
• 4.4 TTAY collects and processes payment or all relevant charges for the Expert Services from the Artists on behalf of the Experts, and remits relevant amounts onto the Expert as part of the TTAY Service.  This is merely a payment processing service and does not imply that TTAY  is responsible for the Expert Services.
• 4.5 If you have a complaint about an Expert or the Expert Service, please notify us.  We will put you in touch with the Expert to resolve the dispute.  We may help mediate any dispute, but are not responsible for doing so. Any refunds or other compensation for Expert Services must be sought directly from the Expert.  TTAY will not process refunds for the Expert Services.

5. Personal Data.

• 5.1 You (including any Authorised Users) agree to the use of your personal data by TTAY in accordance with the terms of and for the purposes set out in the TTAY Privacy Notice which can be found at [insert link]
• 5.2 TTAY will disclose to Experts, the information that you provide when making a purchase, solely for the purpose of the Expert providing you with the requested service.
• 5.3 We reserve the right to vary or amend the Privacy Notice from time to time at our sole discretion and you will be bound by the version currently being used at the time you provide your personal data to TTAY.

6. Artist Submissions, Licence and Warranty 

• 6.1 Artists and their Authorised Users may be able to post reviews, ratings, comments and other content, along with suggestions for improving the TTAY Service, as facilitated by the TTAY Service (“Artist Submissions”).
• 6.2 You represent and warrant that you own or otherwise control all of the rights to the Artist Submissions that you post; the Artist Submission is accurate and/or an honestly held opinion; use of the Artist Submission supplied does not breach any applicable policies or guidelines and will not cause injury to any person or entity.
• 6.3 You represent and warrant that any Artist Submission: is accurate and/or an honestly held opinion; does not breach any applicable policies or guidelines and will not cause injury to any person or entity; is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable;  and does not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to yourself or the origin of any content.

7. Moderation and Community Rules
   
   • 7.1 We aim to create a safe and welcoming community and require all Artists to act responsibly and thoughtfully to other Artists and to Experts. However, we are not responsible for any Artist Submissions or the actions or behaviours of other Artists.  We do not endorse any opinion contained in such submission. We make no warranties or representations, express or implied, about Artist Submissions, including as to its legality or accuracy.
   • 7.2 We may implement technology systems to attempt to automatically filter content and look for certain words such as profanities, but do not guarantee that we will systematically or successfully review Artist Submissions submitted by you or other Artists. 
   • 7.3 We reserve the right, in our sole discretion (but have no obligation), to refuse to post or to remove or edit any of your Artist Submissions, or to restrict, suspend, or terminate your access to all or any part of the TTAY Services, particularly where Artist Submissions breaches these Terms and we may do this with or without giving you any prior notice.
   • 7.4 If you believe any Artist Submissions is inappropriate, please notify us via support@theteamaroundyou.com

8. Restrictions 
   
   • 8.1 The TTAY Service, and any content viewed through the service, is for your personal and non-commercial use only. Subject to the other conditions of access, we grant you a limited, non-exclusive, non-transferable, licence to access TTAY Service on temporary basis. 
   • 8.2 You agree to use the TTAY Service, including all associated features and functionalities, in accordance with all applicable laws, rules and regulations, or other restrictions on use of the service or content.
   • 8.3 You may not at any time modify, copy, store, distribute, transmit, display, revise, perform, archive, download, reproduce, publish, license, deep-link, create derivative works from, transfer, scrape, crawl, extract, reutilise, or otherwise use any information, data or content obtained from or available through the TTAY Service unless expressly authorised by us.
   • 8.4 You also agree not to circumvent, remove, alter, deactivate, degrade or thwart any of the content protections on the TTAY Service.
   • 8.5 You may not reproduce, redistribute decompile, reverse engineer or disassemble any software or other products or processes on the TTAY Service.
   • 8.6 The TTAY Service must not be framed on any other site, nor may you establish a link to any part of the TTAY Service other than the home page.  Otherwise, you may link to the TTAY Service, provided you do so in a way that is fair and legal and which does not circumvent any financial revenue we may wish to make, does not damage our reputation or take commercial advantage of it or the content, or otherwise create financial revenue outside of the TTAY Service. 

9. Ownership, use and intellectual property rights

The TTAY Service and all content (including but not limited to any text, video, information, messages, articles, music, images, photographs, software and other content) and all intellectual property rights are, as between you and us, owned or licensed by us and/or our licensors/contributors/Experts. We and our licensors/contributors/Experts reserve all rights. Nothing in these Terms grants you any rights in the service or the content within the service other than the limited access rights permitted herein.  For the avoidance of doubt however, we make no representations about and are not liable for the Expert Services or the content or materials related to the Expert Services. 

10. Suspension or Termination of your Account
    
    • 10.1 We reserve the right, acting reasonably, to immediately suspend or terminate your account if:
      
      1. you or any of your Authorised Users breach these Terms;
      2. information you have provided (whether during the sign up process or thereafter) proves to be inaccurate, fraudulent, misleading or otherwise in violation of these Terms;
      3. you use the TTAY Service for any purpose not expressly permitted by these Terms;
      4. it comes to our attention (via an Expert or otherwise) that, whilst using the TTAY Service, you acted or are acting inappropriately or in an unprofessional manner; or
      5. you have otherwise acted (or are acting) in a way in which we reasonably believe warrants us to suspend or terminate your account.
    • 10.2 If we suspend your account, you will not be able to book or participate in any sessions during any period of suspension. If we terminate your account, you will no longer be able to log in to the TTAY Service and will not be able to book or participate in any sessions. If we terminate your account under this clause we are not obliged to refund any monies paid or pre-paid by you. 

11.  Links and third party sites
    
    • 11.1 The TTAY Service and/or the content may contain links to third party websites and services. If you decide to visit any third party site or use a third party service, you do so at your own risk.  We are not responsible for the content, accuracy or opinions expressed on such websites or services. Links do not imply that the TTAY Service is affiliated to or associated with such sites or services. 
    • 11.2 Your browsing and interaction on any other website or your use of other services, including websites and services which have a link to or from the TTAY Service, is subject to that operator’s own rules and policies. Please read those rules and policies before proceeding.

12. Warranties and limitation of liability
    
    • 12.1 We make no warranty that the TTAY Service or the Expert Services will meet your requirements, or that the content will be accurate or reliable or is fit or suitable for a particular purpose. We make no representations about and are not liable for the Expert Services or any content or materials related to the Expert Services. Nor do we warrant that the functionality of the TTAY Service will be uninterrupted or error free, that defects will be corrected or that the TTAY Service is free of viruses. To the fullest extent permitted by law, any reliance you place on the information or on the TTAY Service is at your own risk. 
    • 12.2 Other than any express warranties set forth herein and any rights you have under consumer laws, the TTAY Service is provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and, to the maximum extent permitted by applicable law, without further warranty of any kind whether express or implied, including but not limited to the implied warranties of non-infringement, compatibility, security and accuracy.
    • 12.3 To the maximum extent permitted by applicable law, we shall not be liable under, or in connection with, this agreement in contract, tort, or negligence for any indirect or consequential loss whatsoever, nor any loss of profits, business, revenue, anticipated revenue, goodwill, opportunity, savings, or data,  except to the extent that the loss or damage was incurred as a direct result of fraud or wilful misconduct. 
    • 12.4 In any event, to the fullest extent permitted by law, our maximum liability for direct damages to you shall not exceed £100. 
    • 12.5 We do not exclude or limit our liability for death or personal injury arising from our negligence, for any fraudulent misrepresentation made by us or for any other statutory rights which are not capable of being excluded.
    • 12.6 Nothing in these Terms shall affect your statutory rights as a consumer. 

13. Indemnity to us.

If you or your Authorised Users are in breach of these Terms, to the maximum extent permitted by applicable law you will be responsible for and agree to indemnify us in respect of any costs, expenses, claims, proceedings, actions, losses, damages or liabilities (including reasonable legal fees) incurred by us as a result of your breach.

14. General
    
    • 14.1 We reserve the right to vary these Terms from time to time. By continuing to use and access the TTAY Service you agree to be bound by any variation made by us. It is your responsibility to check these Terms of use from time to time to verify such variations.
    • 14.2 These Terms and documents linked or referred to, contain the entire understanding and agreement between us and you in relation to your use of the TTAY Service and supersede and replace any representation, statement or other communication (whether written or otherwise) made by you or us which is not contained herein.
    • 14.3 Should any part of these Terms for any reason be declared invalid or unenforceable by a court of a competent jurisdiction, it shall be deemed to be deleted without affecting the remaining provisions.
    • 14.4 The failure by us to partially or fully exercise any rights or the waiver by us of any breach of these Terms by you shall not prevent a subsequent exercise of such right by us or be deemed a waiver by us of any subsequent breach by you of the same or any other term of these Terms.  Our rights and remedies under these Terms and any other applicable agreement between you and us shall be cumulative, and the exercise of any such right or remedy shall not limit our right to exercise any other right or remedy.
    • 14.5 If you are unhappy with the service or have any complaint or other dispute, please contact us.  The parties agree to enter into bone fide dispute resolution discussions before entering into any formal legal proceedings.
    • 14.6 These Terms are governed and construed in accordance with the laws of England and Wales and you consent to the exclusive jurisdiction of the courts of England.

EXPERT / ARTIST MINIMUM TERMS IN RELATION TO EXPERT SERVICES

These Expert / Artist Minimum Terms apply to any contract formed between Expert and Artist for the supply of any advice, mentoring, training, coaching or other services made available to the Artists by Experts (“Expert Services”) via the TTAY Service. When entering into a contract to provide an Artist with Expert Services, the Expert may also incorporate their own terms of business to govern the relationship.  To the extent the Expert does incorporate any further terms, these Expert / Artist Minimum Terms will be deemed amended to the extent of any inconsistency.  Any defined terms used here have the same meaning as in the Artist Terms of Service and/or the Expert Terms.

Agreement:

1. Relationship: The TTAY Service is a marketplace booking and payment service only. TTAY acts as an interface in the engagements between Experts and Artist, including facilitating the payment process between Artist and the Expert. TTAY is not the supplier of the Expert Services. When Artists engage an Expert, the Artist and Expert are entering into a contract directly. TTAY is not a party to any agreement between the Expert and the Artist and TTAY accepts no responsibility for the Expert’s services or the Artist’s actions.
2. Booking and Purchases:  Any booking or other purchase made between the Expert and an Artist will be subject to the Booking, Payment and Cancellation Rules found here.
3. Payment:  The Artist will pay the relevant charges for the Expert Services. TTAY collects and processes such payments on behalf of the Expert and Artist, and remits relevant amounts to the Expert as part of the TTAY Service.  
4. Expert Services: The Expert will provide the Expert Services with all due skill and care, and substantially as described in any descriptions of the Expert Services. The Artist will act appropriately and professionally in all engagements with the Expert.
5. Disclaimers / Warranties: The Expert makes no warranty that the Expert Services will meet the Artist’s specific requirements, or that any advice will be accurate or reliable.  Other than any express warranties set out here and any rights the Artist may have under consumer laws, the Expert Services are provided on an "AS IS" and "AS AVAILABLE" basis and, to the maximum extent permitted by applicable law, without further warranty of any kind whether express or implied.
6. Liability:   To the maximum extent permitted by applicable law, neither party shall be liable to the other under, or in connection with, their agreement in contract, tort, or negligence for any indirect or consequential loss whatsoever, nor any loss of profits, business, revenue, anticipated revenue, goodwill, opportunity, savings, or data,  except to the extent that the loss or damage was incurred as a direct result of fraud or wilful misconduct. In any event, to the fullest extent permitted by law, each party’s maximum liability for loss or damages to the other shall be capped at the amount of the relevant charges for the Expert Services. Nothing excludes or limits liability for death or personal injury arising from negligence, for any fraudulent misrepresentation or for any other statutory rights which are not capable of being excluded. Nothing in these terms shall affect the Artist’s statutory rights as a consumer.
7. Intellectual Property (IP): All IP in the Expert Services and related materials belongs to the Expert or their licensors.  The Expert reserves all rights in the Expert Services and related materials, and the Artist only has a limited license to use or access the Expert Services and related materials to the extent necessary to receive the relevant services.
8. Governing law & Jurisdiction: the agreement will be governed by the laws of England and Wales, and the jurisdiction of the courts of England in London.
